End User License Agreement (Software)

This End User License Agreement ("EULA") governs your use of GridNMS downloadable and self-hostable software, including the GridNMS collector, desktop applications, and self-hosted server components (the "Software"), provided by GridNMS LLC ("GridNMS," "we," "us"). Use of the hosted Service is governed by the Terms of Service; this EULA applies to Software you install or run yourself.

1. License grant

Subject to this EULA and any applicable subscription or plan limits, GridNMS grants you a limited, non-exclusive, non-transferable, revocable license to install and run the Software solely for your internal business purposes and to connect to the Service or to operate a self-hosted deployment as permitted by your plan.

2. Restrictions

You may not:

  • Copy, modify, or create derivative works of the Software except as permitted by your

plan or by applicable open-source license terms (Section 5).

  • Distribute, sublicense, sell, rent, or provide the Software to third parties as a

service except as expressly authorized.

  • Reverse engineer, decompile, or disassemble the Software, except to the extent

applicable law permits despite this restriction.

  • Remove or alter any proprietary notices.
  • Use the Software to monitor, scan, or collect data from networks or systems you are not

authorized to manage.

  • Circumvent licensing, metering, or usage controls.

3. Updates

The Software may automatically check for and install updates to maintain security and compatibility. You consent to these updates. We are not obligated to provide updates, support, or maintenance except as stated in your plan.

4. Ownership

The Software is licensed, not sold. GridNMS and its licensors retain all right, title, and interest in the Software, including all intellectual property rights. No rights are granted except as expressly stated.

5. Third-party and open-source components

The Software may include third-party or open-source components licensed under their own terms. Those terms govern your use of those components and, to the extent required, take precedence over this EULA for those components. A list of such components and licenses is available on request or within the Software's distribution.

6. Data and telemetry

When the Software connects to the Service it transmits operational data and may report diagnostic or version information used to operate, secure, and support the deployment. Handling of that data is described in the Privacy Policy.

7. Term and termination

This EULA applies for as long as you use the Software. It terminates automatically if you breach it or your subscription ends. On termination you must stop using and remove the Software. Sections that by their nature should survive (ownership, restrictions, disclaimers, limitation of liability) survive termination.

8. Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIDNMS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM THE SOFTWARE. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SOFTWARE OR RELATED SUBSCRIPTION IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

10. Governing law

This EULA is governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules.
